Adopted by Kvalvåg Harbor Society

§1 NAME

The association's name is KVALVÅG HARBOR SOCIETY.

§2 PURPOSE

Kvalvåg Harbor Society is an association whose purpose is to operate and maintain a small boat harbor at the dock in Kvalvåg, promote improvements and maintenance of dock facilities and piers, facilitate the rental of berths, promote safe boating and leisure activities by the sea for its members, and to safeguard the environment in and around the dock in Kvalvåg.

§3 FORM OF ORGANIZATION

The association is an independent legal entity with members and is self-owning. Being self-owning means that no one, neither members nor others, has a claim on the association's assets or property, or is responsible for debt or other obligations.

§4 MEMBERSHIP AND BERTH

Membership in Kvalvåg Harbor Society basically requires all members to own real estate in the Kvalvåg area and entitles them to a standard berth. Both private individuals and companies can achieve membership. A prerequisite for membership is full payment of the annual fee. Berths can also be rented directly from the Harbor Society to both members and non-members. All members have the right to participate in the Annual Meeting, have voting rights, and are eligible for honorary positions in the association. Members who owe fees for more than one year do not have voting rights or other rights, and the board can remove them as members of the association. Members are obliged to adhere to resolutions passed by the annual meeting.

§5 SOURCES OF INCOME

The association can increase its income by developing and renting out extra berths to both members and non-members.

§6 LEASE AGREEMENT WITH LANDOWNER

The association shall enter into a lease agreement with the landowner of the pier area. The lease shall have a duration of 15 years and is renewed automatically unless the landowner or the association cancels the agreement within one year before the expiration date. The association is responsible for paying an annual rent as agreed with the landowner. The annual rent is determined at the founding meeting and is indexed annually.

§7 VOLUNTEER DUTY AND ENVIRONMENTAL IMPROVEMENTS

The annual meeting can pass resolutions on volunteer projects. Members are obliged to participate or contribute based on ability and health. Details around volunteer work will be determined in each individual case and communicated to members. Significant changes and improvements to the environment and facilities in the harbor shall only occur after consultation with and approval by the landowner. The Harbor Society shall, in cooperation with the landowner, decide whether such changes require municipal approval.

§8 BOARD RESPONSIBILITY

The association has a board with the number of members determined by the annual meeting. The board is the highest authority between annual meetings. The board shall hold meetings when the chairman or a majority of the board members demand it. The board shall implement annual meeting resolutions, appoint any committees, groups, or persons to perform special tasks and prepare instructions for these, administer and perform necessary control of the association's finances according to applicable instructions and provisions, and represent the association externally.

§9 ANNUAL FEE

The annual fee, which includes one berth per member, shall be approved by the annual meeting. The fee covers operation, maintenance, rent, administration, and capital costs.

§10 ANNUAL MEETING

The Annual Meeting is the Harbor Society's supreme authority and shall be held by the end of March each year. The annual meeting shall handle matters such as the annual report from the board, annual accounts, determination of annual fee/membership fee, election of the board, and any proposals and matters presented by the board or submitted by members. The annual meeting is quorate with the number of voting members who attend, and all members have one vote. The meeting leader is elected by the annual meeting. Unless otherwise determined, a resolution, to be valid, must be passed by a simple majority of the votes cast. A tie is decided by drawing lots.

§11 EXTRAORDINARY ANNUAL MEETING

Extraordinary annual meetings are held when the board decides so, or at least 1/3 of the members demand it. Notice is given in the same way as for ordinary annual meetings, with at least 14 days' notice. An extraordinary annual meeting can only handle and make decisions on the matters announced in the notice.

§12 STATUTE CHANGES

Changes to the statutes require a 2/3 majority of the members at the annual meeting. At least half of the members must be present. If not enough members attend, an extraordinary annual meeting is called within one month, and resolutions are then valid with a simple majority of those attending.

§13 EXCLUSION

The Harbor Society has the right to exclude members who grossly or repeatedly break the Harbor Society's rules or statutes, or otherwise act in a way that harms the Harbor Society and its interests.

§14 DISSOLUTION

Dissolution of the Harbor Society can only be handled at an ordinary annual meeting. Decision on dissolution requires a 2/3 majority of attending members. The association's assets shall, after dissolution and settlement of debt, fall to a purpose determined by the annual meeting. No members have a claim on the association's funds or share of these.
